Terms of sale

The commercial terms that apply to quotations and orders placed with MAXDUR, unless a signed contract says otherwise.

Last updated 7 November 2026

1. Scope

These terms apply to all quotations, order confirmations and shipments from MAXDUR FILTRATION & LUBRICANTS CO., LTD. ("the seller") to a business buyer ("the buyer"). They apply to business-to-business sales only. Where a signed contract or a written order confirmation states different terms, that document prevails over this page.

2. Quotations and validity

  • A quotation is an invitation to order, not an offer capable of acceptance.
  • Quotations are firm for the validity period stated on the quotation, normally 15 days for filters.
  • Lubricant prices are subject to base oil movement where the quotation says so. If a price changes, the seller confirms the new price in writing before production and the buyer may cancel without penalty at that point.
  • Prices exclude duties, taxes and levies at destination unless expressly stated.

3. Orders

An order becomes binding when the seller issues a written order confirmation or proforma invoice and the deposit has been received. Changes requested after production has started may be refused, or accepted with the additional cost and delay confirmed in writing first.

4. Payment

Standard terms are: 30% T/T deposit, 70% against B/L copy; L/C at sight. Bank charges outside the seller's own bank are for the buyer's account. Goods remain the seller's property until the invoice is paid in full.

5. Delivery and risk

Shipments are made on the incoterm stated on the order confirmation — FOB Shenzhen / CIF / CFR. Risk passes as defined by that incoterm (Incoterms 2020). Loading ports are Shenzhen / Ningbo / Shanghai. Lead times are stated in good faith and are calculated from receipt of the deposit and approval of any artwork, not from the date of enquiry.

6. Quantities

Quantities are subject to a manufacturing tolerance of ±5% on carton-packed filters and ±2% on lubricants. The invoice is issued on the actual shipped quantity within that tolerance, and the price per unit is unchanged.

7. Specification and fitness for purpose

The buyer is responsible for confirming that the item specified meets the requirement of the application. Where a cross-reference is provided, it is provided as an identification aid and is based on the dimensions and ratings published on the relevant item page. Where the seller has stated in writing that an item is "similar but not a confirmed equivalent", the buyer accepts that differences exist and orders on that basis.

8. Claims

Claims for short shipment, visible damage or wrong item must be notified within 7 days of arrival at the destination port, with photographs of the carton, label and item. Latent quality claims must be notified within 30 days of arrival. Claims notified after these periods may be refused. The seller's liability is limited to replacement of the affected goods or refund of their invoice value, at the seller's option, and does not extend to consequential loss, lost profit or labour cost.

9. Intellectual property

Original brand names and part numbers referenced on this site are the property of their respective owners and are used only to identify the item being replaced. Where the buyer asks the seller to print a brand, the buyer warrants that it holds the right to use that mark in the destination market and indemnifies the seller against any claim arising from that use.

10. Force majeure

Neither party is liable for delay caused by events outside its reasonable control, including but not limited to carrier strikes, port closure, epidemic control measures, export restrictions or natural events. The affected party notifies the other in writing and the delivery period is extended by the duration of the event.

11. Governing law

These terms are governed by the laws of the People's Republic of China. Disputes are referred to the competent court at the seller's place of business, unless the parties agree in writing to arbitration — for example under CIETAC rules — before the dispute arises.
